IMPORTANT: PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING OUR PLATFORMS. BY ACCESSING OR USING f316.com OR tn.f316.com, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU MUST NOT USE OUR PLATFORMS.
1. Definitions and Interpretation
1.1 Definitions
In these Terms of Service, the following words and expressions shall have the following meanings unless the context otherwise requires:
“Account” means a registered user account on either Platform.
“Angela” means the AI-powered chatbot on the Corporate Site.
“Candidate” or “Talent” means an individual who registers on the Talent Network to make their professional profile available to Companies.
“Company” or “Employer” means an organisation that registers on the Talent Network to access candidate profiles, post job opportunities, and make hires.
“Content” means any information, data, text, photographs, graphics, CVs, job postings, messages, or other materials uploaded, posted, or transmitted through the Platforms.
“Corporate Site” means the F316 consulting website at f316.com.
“F316”, “we”, “us”, or “our” means F316 LTD (for UK users) or F316 Nigeria Limited (for Nigerian users), as applicable.
“Free Tier” means the unpaid access level of the Talent Network, available to both Candidates and Companies, providing access to core platform features as described on the Talent Network.
“Match Score” means the AI-generated compatibility percentage between a Candidate profile and a job posting.
“Maya” means the AI-powered chatbot on the Talent Network.
“Platforms” means, collectively, f316.com and tn.f316.com.
“Pre-Authorisation” means the one-time verification process that Companies undergo before being granted access to candidate profiles on the Talent Network.
“Services” means the services provided through the Platforms, including consulting services, AI-powered talent matching, candidate profile hosting, job posting, and related features.
“Subscription” means a paid, recurring access plan for the Talent Network that provides enhanced features beyond those available on the Free Tier, as described in Section 9.
“Talent Network” or “F316TN” means the AI-powered talent marketplace at tn.f316.com.
“User” means any individual or organisation that accesses or uses the Platforms, whether or not they hold an Account.
1.2 Interpretation
References to “you” and “your” mean the User. Headings are for convenience only and do not affect interpretation. Words in the singular include the plural and vice versa. References to legislation include any amendment, re-enactment, or subordinate legislation made under it. Where the context permits, references to one gender include all genders.
2. About Us and Our Platforms
2.1 Contracting Entities
These Terms constitute a legally binding agreement between you and: F316 LTD, a company registered in Scotland (Company No. 864077), with its registered office at 3 Hill Street, Edinburgh, EH2 3JP, if you are located in the United Kingdom or any jurisdiction outside Nigeria; or F316 Nigeria Limited, a company registered in the Federal Republic of Nigeria (RC 1127806), with its registered office at Mulliner Towers, 2nd Floor, 39 Alfred Rewane Road, Ikoyi, Lagos, Nigeria, if you are located in Nigeria.
2.2 Our Platforms
Corporate Site (f316.com): A professional services website providing information about F316’s consulting services in talent acquisition, employer branding, HR strategy, and organisational development. The Corporate Site serves as a lead-generation and thought-leadership platform for C-suite executives and senior decision-makers.
Talent Network (tn.f316.com): An AI-powered SaaS recruitment marketplace connecting Candidates with Companies across the United Kingdom and Nigeria. The Talent Network uses artificial intelligence to match candidate profiles with job opportunities based on skills, experience, work authorisation, location, and salary expectations. The Talent Network is a software-as-a-service platform, not a recruitment agency or employment consultancy.
3. Acceptance of Terms
By accessing or using our Platforms, you confirm that: you are at least 18 years of age; you have the legal capacity to enter into a binding agreement; if registering on behalf of an organisation, you have authority to bind that organisation to these Terms; you have read and understood these Terms, our Privacy Policy, and our Cookie Policy; and you agree to comply with all applicable laws and regulations in the jurisdiction from which you access our Platforms.
If you do not agree to these Terms, you must immediately cease using our Platforms and close any Account you have registered.
4. Account Registration and Security
4.1 Registration Requirements
Certain features of our Platforms require you to create an Account. When registering, you must: provide accurate, current, and complete information; maintain and promptly update your Account information to keep it accurate; create a strong password and keep it confidential; and notify us immediately of any unauthorised use of your Account or any other breach of security.
You may register using email and password, or through third-party Single Sign-On (SSO) providers (Google or LinkedIn). Use of SSO is subject to the third party’s own terms and privacy policy.
4.2 Account Types
Candidate Account: For individuals seeking employment opportunities. Enables CV upload, profile creation, and access to job matches. Open to individuals aged 18 or over with a legal right to work in at least one supported jurisdiction. All Candidates are free to open an Account and create a profile on the Talent Network.
Company Account: For organisations seeking to hire talent. Enables job posting, candidate browsing, and hiring workflows. Open to registered businesses or organisations, subject to one-time Pre-Authorisation as described in Section 5.
Consulting Enquiry: For visitors submitting consulting, speaking, or general enquiries via f316.com. Open to any individual or organisation. No Account required.
4.3 Account Responsibility
You are solely responsible for all activities that occur under your Account. F316 shall not be liable for any loss or damage arising from your failure to maintain the security of your Account credentials. We reserve the right to suspend or terminate any Account that we reasonably believe has been compromised.
5. Company Pre-Authorisation
To ensure the quality and integrity of the Talent Network, all Companies must undergo a one-time Pre-Authorisation process before being granted access to candidate profiles. Pre-Authorisation involves: verification of the organisation’s legal existence and standing; confirmation of the organisation’s identity and registered details; assessment of the organisation’s suitability for the platform; and acceptance of these Terms and the Talent Network’s Acceptable Use Policy.
Once a Company has been pre-authorised and its Account is live, no further Pre-Authorisation is required unless the Company’s Account has been suspended or terminated and is being reinstated.
F316 reserves the right to refuse Pre-Authorisation to any organisation at its sole discretion, without obligation to provide reasons. Pre-Authorisation may be revoked at any time if a Company breaches these Terms or engages in conduct that is detrimental to the Talent Network or its users.
For the avoidance of doubt, Pre-Authorisation applies only to Companies. Candidates are not subject to any pre-authorisation or approval process and may open an Account and create a profile at any time, as described in Section 6.
6. Candidate Profiles and CV Upload
6.1 Profile Creation
Candidates may create a profile by manually entering their professional information or by uploading a CV. Uploaded CVs are parsed using AI technology (Google Gemini API) to extract relevant information. You acknowledge and agree that: AI parsing may not be 100% accurate, and you are responsible for reviewing and correcting any extracted information; you must not include false, misleading, or fraudulent information in your profile; your profile will be visible to Pre-Authorised Companies on the Talent Network; and F316 may edit, redact, or remove any Content that violates these Terms or applicable law.
6.2 Profile Completeness and Matching
All Candidates are free to open an Account and maintain a profile on the Talent Network, regardless of the completeness of their profile. There is no approval or gatekeeping process for Candidate profiles.
However, profile completeness directly affects the quality and relevance of AI-powered matches you receive, and the prominence of your profile in Company search results. The onus is on you as a Candidate to ensure your profile is as complete and accurate as possible in order to benefit from effective AI matching. Specifically:
- Profiles with higher completeness scores will receive more accurate and relevant Match Scores;
- Incomplete profiles may appear lower in Company search results due to lower Match Scores;
- CV parsing confidence scores reflect the quality of data extracted from your uploaded CV — where confidence is low, you should review and manually correct the extracted information; and
- Maya (our AI chatbot) can provide guidance on improving your profile completeness and match potential.
For the avoidance of doubt, F316 does not guarantee employment outcomes. The visibility of your profile to Companies and the Match Scores generated by our AI engine are tools to facilitate introductions, not guarantees of contact or employment.
7. Job Postings (Companies)
Companies may post job opportunities on the Talent Network, subject to the following requirements: job postings must be for genuine, current vacancies and must accurately describe the role, requirements, and compensation; job postings must comply with all applicable employment and anti-discrimination legislation, including the Equality Act 2010 (UK) and the Labour Act (Nigeria); job postings must not contain discriminatory language or requirements based on protected characteristics; Companies must specify work authorisation requirements accurately; and Companies must not use the Talent Network for any purpose other than genuine recruitment.
F316 reserves the right to remove or modify any job posting that violates these Terms, applicable law, or our editorial standards, without prior notice.
8. AI-Powered Matching and Recommendations
8.1 How Matching Works
The Talent Network uses an AI-powered matching engine to calculate compatibility scores between Candidate profiles and job postings. Match Scores are calculated based on a weighted algorithm considering skills (40%), experience (25%), work authorisation (20%), location (10%), and salary expectations (5%).
8.2 Limitations and Disclaimers
You acknowledge and agree that: Match Scores are algorithmically generated recommendations, not guarantees of suitability or employment; F316 does not guarantee the accuracy, completeness, or reliability of Match Scores; hiring decisions remain the sole responsibility of the relevant Company; F316 is not party to any employment relationship between Candidates and Companies; and the AI matching engine uses Google Gemini API, and its outputs are subject to the inherent limitations of artificial intelligence.
8.3 Work Authorisation
Work authorisation is a mandatory matching factor. If a Candidate lacks the required authorisation for a role and the Company does not offer sponsorship, no match will be displayed. F316 does not provide immigration advice and does not verify work authorisation status. It is the responsibility of both Candidates and Companies to ensure compliance with applicable immigration and employment laws.
9. Fees, Subscriptions, and Payment
9.1 Free Access
The Talent Network is currently available to both Candidates and Companies free of charge. All core platform features, including Account creation, profile hosting, CV upload, AI matching, and in-platform messaging, are accessible without payment during this period.
F316 intends to introduce a freemium pricing model, under which certain enhanced features will be available to paying subscribers whilst core features remain free. The timing, scope, and details of the freemium model will be announced on the Talent Network and communicated to registered Users in advance of any changes taking effect. F316 will provide at least 30 days’ notice before introducing any charges for features that were previously free.
9.2 Freemium Model
When introduced, the freemium model will operate as follows:
Free Tier: Both Candidates and Companies will continue to have access to a Free Tier providing core platform functionality at no cost. The Free Tier will include Account creation, basic profile features, and access to the AI matching engine.
Paid Subscriptions: Both Candidates and Companies may choose to subscribe to a paid tier for access to enhanced features and functionality. The specific features, pricing, and tiers for paid Subscriptions will be published on the Talent Network when available. No User is required to subscribe to a paid tier in order to maintain their Account or access core features.
The Talent Network is a software-as-a-service (SaaS) platform. Subscription fees charged through the Talent Network are for access to enhanced platform functionality, not for recruitment placement services. The Talent Network does not charge success fees, placement fees, or any fee contingent upon a Candidate being hired through the platform. For the avoidance of doubt, this does not apply to F316’s separate consulting services offered through f316.com, where bespoke recruitment engagements may be subject to separate commercial terms, including placement or success-based fees, as agreed between F316 and the client.
9.3 Payment Processing
When paid Subscriptions are introduced, payments will be processed through our third-party payment providers: Stripe for UK and international card payments; and Paystack for Nigerian payments (including local card, bank transfer, and mobile money). F316 does not store payment card details. All payment data is handled securely by the applicable payment processor in accordance with PCI DSS standards. All prices will be exclusive of applicable taxes (VAT in the UK, VAT/WHT in Nigeria) unless stated otherwise.
9.4 Billing, Renewal, and Cancellation
When paid Subscriptions are introduced, they will be billed monthly in advance and will automatically renew at the end of each billing period unless cancelled. We will send you a renewal reminder by email at least 7 days before the start of each new billing period, confirming the renewal date, the amount to be charged, and how to cancel.
You may cancel your Subscription at any time through your Account settings or by contacting us at hello@f316.com. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.
If you are a consumer within the meaning of the Consumer Rights Act 2015 (UK), you may have a statutory right to cancel a Subscription entered into online within 14 days of the date on which the Subscription begins (the “cooling-off period”) under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. If you exercise this right, we will refund any fees paid for the cancelled period. This right does not apply to Services that have been fully performed with your prior express consent and acknowledgement that you will lose your right of withdrawal once the Services are fully performed.
These cancellation provisions are intended to comply with applicable requirements under the Digital Markets, Competition and Consumers Act 2024 (DMCCA), including any secondary legislation relating to subscription contracts that is in force at the time.
9.5 Late Payment
If any amount due is not paid by the due date, F316 reserves the right to: suspend access to paid features until payment is received; charge interest on overdue amounts at the rate of 4% per annum above the Bank of England base rate (for UK users) or the Central Bank of Nigeria monetary policy rate (for Nigerian users); and recover reasonable costs of collection, including legal fees.
10. Intellectual Property Rights
10.1 F316’s Intellectual Property
All intellectual property rights in the Platforms, including the design, layout, code, algorithms, AI models, databases, trademarks (including the F316 name and logo), and all Content created by F316, are owned by or licensed to F316 and are protected by the Copyright, Designs and Patents Act 1988 (UK), the Copyright Act (Nigeria), and applicable international intellectual property treaties. Nothing in these Terms grants you any right, title, or interest in our intellectual property, except the limited licence to use the Platforms in accordance with these Terms.
10.2 Your Content
You retain ownership of Content you upload to the Platforms (including CVs, profile information, and job postings). By uploading Content, you grant F316 a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, display, and distribute your Content solely for the purpose of operating, improving, and promoting the Platforms and Services. This licence continues for the duration of your Account and for a reasonable period thereafter to fulfil our retention obligations.
10.3 AI-Generated Content
Match Scores, parsed CV data, lead scores, and other outputs generated by our AI systems are owned by F316. You are granted a limited, non-exclusive licence to use such outputs for your personal or internal business purposes in connection with the Services.
11. Acceptable Use Policy
You must not use the Platforms to: upload false, misleading, fraudulent, or deceptive Content; impersonate any person or entity, or misrepresent your affiliation with any person or entity; harvest, scrape, or collect personal data of other users without their consent; send unsolicited communications, spam, or commercial messages to other users outside the Platform’s messaging features; discriminate against any person on the basis of race, ethnicity, gender, sexual orientation, religion, age, disability, or any other protected characteristic; post job listings for roles that do not genuinely exist or that are designed to collect personal data; attempt to reverse-engineer, decompile, or extract the source code of any part of the Platforms, including the AI matching algorithm; use automated tools, bots, or scripts to access the Platforms without F316’s prior written consent; circumvent or interfere with any security features or access controls; upload any Content that contains viruses, malware, or harmful code; use the Platforms for any illegal purpose or in violation of any applicable law; or engage in any conduct that is harmful to F316, its users, or the integrity of the Platforms.
F316 reserves the right to investigate any suspected breach of this Acceptable Use Policy and to take appropriate action, including Account suspension or termination, removal of Content, and reporting to law enforcement authorities. Violations may also constitute offences under the Computer Misuse Act 1990 (UK) and the Cybercrimes (Prohibition, Prevention, etc.) Act 2015 (Nigeria), as amended, and may be reported to the relevant authorities.
12. Disclaimers and Limitation of Liability
12.1 Platform Availability
We endeavour to ensure that the Platforms are available at all times but do not guarantee uninterrupted or error-free access. The Platforms may be temporarily unavailable due to maintenance, updates, or circumstances beyond our reasonable control. We shall not be liable for any loss or damage arising from such unavailability.
12.2 No Employment Guarantee
The Talent Network is a technology platform that facilitates introductions between Candidates and Companies. The Talent Network does not guarantee that Candidates will receive job offers or that Companies will find suitable candidates. The Talent Network is not an employment agency within the meaning of the Employment Agencies Act 1973 (UK) or the Labour Act (Nigeria) and does not act as an agent for either Candidates or Companies. The Talent Network is a software-as-a-service platform that provides tools for recruitment, not recruitment services themselves. F316’s separate consulting services, offered through f316.com and governed by separate engagement terms, may involve F316 acting in an advisory or recruitment consultancy capacity on behalf of clients.
12.3 AI Accuracy
Whilst we strive to provide accurate and helpful AI-powered features, artificial intelligence is not infallible. We make no representations or warranties regarding the accuracy, reliability, or completeness of AI-generated outputs, including Match Scores, CV parsing results, and chatbot responses. You should exercise your own judgment and not rely solely on AI outputs for important decisions.
12.4 Limitation of Liability
To the maximum extent permitted by applicable law: F316’s total aggregate liability to you for all claims arising out of or in connection with these Terms shall not exceed the greater of (a) the total fees paid by you to F316 in the 12 months preceding the claim, or (b) one hundred pounds sterling (£100). F316 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, business opportunities, or goodwill, whether or not F316 has been advised of the possibility of such damages. F316 shall not be liable for any loss or damage arising from the acts or omissions of third-party service providers, including payment processors and AI service providers.
12.5 Exclusions
Nothing in these Terms excludes or limits F316’s liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any liability that cannot be excluded or limited under applicable law, including under the Consumer Rights Act 2015 (UK), the Digital Markets, Competition and Consumers Act 2024 (UK), or the Federal Competition and Consumer Protection Act 2018 (Nigeria).
13. Indemnification
You agree to indemnify, defend, and hold harmless F316, its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: your breach of these Terms; your use of the Platforms or Services; Content you upload, post, or transmit through the Platforms; your violation of any applicable law or regulation; or any employment relationship or dispute between you and any other user of the Platforms.
14. Termination
14.1 Termination by You
You may close your Account and terminate these Terms at any time by contacting us at hello@f316.com or through your Account settings. Closing your Account does not relieve you of any obligation to pay outstanding fees.
14.2 Termination by F316
We may suspend or terminate your Account and access to the Platforms, in whole or in part, at any time and for any reason, including if we reasonably believe that: you have breached these Terms or any applicable law; your Account has been compromised; your continued use of the Platforms poses a risk to other users, F316, or the integrity of the Platforms; or it is required by law, regulation, or court order. Where practicable, we will provide you with reasonable notice before termination and an opportunity to retrieve your data.
14.3 Effects of Termination
Upon termination: your right to access and use the Platforms ceases immediately; F316 will retain your data in accordance with our Privacy Policy and applicable data retention obligations; any outstanding fees become immediately due and payable; and the following Sections survive termination: 10 (Intellectual Property), 12 (Disclaimers and Limitation of Liability), 13 (Indemnification), 15 (Dispute Resolution), 16 (Governing Law), and 17 (General Provisions).
15. Dispute Resolution
15.1 Informal Resolution
Before initiating any formal dispute resolution proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms (“Dispute”) by contacting us at hello@f316.com. We will endeavour to resolve the Dispute informally within 30 days of receipt of your notice.
15.2 Arbitration
If a Dispute cannot be resolved informally within 30 days, it shall be referred to and finally resolved by arbitration as follows:
UK Users
Disputes involving UK users or arising under UK law shall be referred to arbitration administered by the London Court of International Arbitration (LCIA) under the LCIA Arbitration Rules in force at the time of filing. The seat of arbitration shall be London, England. The language of the arbitration shall be English. The tribunal shall consist of a sole arbitrator appointed in accordance with the LCIA Rules.
Nigerian Users
Disputes involving Nigerian users or arising under Nigerian law shall be referred to arbitration administered by the Lagos Court of Arbitration (LCA) under the LCA Arbitration Rules in force at the time of filing. The seat of arbitration shall be Lagos, Nigeria. The language of the arbitration shall be English. The tribunal shall consist of a sole arbitrator appointed in accordance with the LCA Rules.
15.3 Exceptions to Arbitration
Notwithstanding the foregoing, either party may seek interim or injunctive relief from a court of competent jurisdiction where necessary to prevent irreparable harm. Nothing in this Section limits your statutory right to bring proceedings in the courts of your habitual residence.
15.4 Class Action Waiver
To the maximum extent permitted by applicable law, you agree that any Dispute shall be resolved on an individual basis and not as part of any class, consolidated, or representative action.
16. Governing Law
These Terms shall be governed by and construed in accordance with: the laws of Scotland, if you are located in the United Kingdom or any jurisdiction outside Nigeria (the courts of Scotland shall have non-exclusive jurisdiction); or the laws of the Federal Republic of Nigeria, if you are located in Nigeria (the courts of Lagos State shall have non-exclusive jurisdiction).
Where there is a conflict between the laws of the two jurisdictions, the law of the jurisdiction in which the relevant user is located shall prevail, subject to mandatory provisions of applicable law that cannot be derogated from by agreement.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and F316 with respect to the use of the Platforms and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
17.2 Severability
If any provision of these Terms is found by a court or arbitral tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable whilst preserving the parties’ original intent.
17.3 Waiver
No failure or delay by F316 in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. A waiver of any right or remedy must be in writing and signed by an authorised representative of F316.
17.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without F316’s prior written consent. F316 may assign its rights and obligations under these Terms to any affiliate or in connection with a merger, acquisition, or sale of all or substantially all of its assets, provided that the assignee agrees to be bound by these Terms.
17.5 Force Majeure
F316 shall not be liable for any failure to perform its obligations under these Terms where such failure results from circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, government actions, power failures, internet or telecommunications failures, or failures of third-party service providers.
17.6 Notices
Any notice required or permitted under these Terms shall be in writing and shall be deemed given when sent by email to F316 at hello@f316.com, or to you at the email address associated with your Account.
17.7 Third-Party Rights
These Terms do not confer any rights on any person or party (other than the parties to these Terms and, where applicable, their successors and permitted assigns) pursuant to the Contracts (Rights of Third Parties) Act 1999 (UK) or equivalent Nigerian legislation.
18. Amendments to These Terms
F316 reserves the right to amend these Terms at any time. Where amendments are material, we will provide at least 30 days’ notice by: posting a notice on the Platforms; sending an email to the address associated with your Account; or displaying a notice when you next log in. Your continued use of the Platforms after the effective date of any amendment constitutes your acceptance of the amended Terms. If you do not agree with the amended Terms, you must stop using the Platforms and close your Account.
